He is authorized to practice in Mexico and in the State of New York. Prior to becoming a founding partner of RomoPailles, Rafael worked with two of the most important firms in New York, Debevoise & Plimpton and White & Case, and subsequently for five years at the White & Case’s Mexico City office, acquiring top-level experience in international transactions.

Rafael also has extensive experience in the real estate and hotel industries, credit transactions, debt restructuring and telecommunications; his practice includes all areas of corporate law.



Rafael Romo’s experience includes:

  • Representing foreign and Mexican clients (including investment funds) in the purchase of assets and companies in the real estate, hotel, financial, manufacturing, telecommunications, electronic security, software, transportation, education and agriculture industries.
  • Negotiating joint ventures in the textile, financial services, telecommunications and insurance industries, representing foreign and Mexican investors.
  • Providing legal counsel to Mexican and foreign financial institutions, as well as Mexican companies with respect to credit facilities and designing the legal structures necessary to implement financing, including lease-lease-backs, syndicated loans and loans guaranteed through trust structures.
  • Counseling investors’ consortia in the telecommunication sector in forming PCS (Personal Communication Services) companies, including equipment finance.
  • Representing some of Mexico’s key players in the textile industry in debt restructuring proceedings involving Mexican banks; and participating in workouts of telecommunication companies.
  • Advising investors in the development and structuring of real estate and hotel investments, marketed through fractional ownership, condominium and other ownership structures.
  • Advising some of the largest companies in the transportation industry in implementing appropriate corporate structures, the participation of investment funds and the purchase of other companies in the same industry.
  • Representing financial services companies in merger processes.
  • Providing corporate advice on foreign investments and antitrust law.
